1. SALE OF GOODS The Seller agrees to manufacture and sell, and the Buyer agrees to purchase, one custom-made high-performance electric scooter ("Scooter") at a price of USD 25,000.
2. PAYMENT TERMS 2.1. The Buyer shall pay a non-refundable deposit of $2000 via Seller’s website at the time of placing the order. 2.2. Manufacture shall commence only upon Seller’s confirmation of the deposit. 2.3. Upon completion, Seller shall provide photographic/video proof demonstrating completion. 2.4. The Buyer shall pay the remaining balance of $23000 within seven (7) calendar days upon receipt of such proof. 2.5. If the Buyer fails to pay the remaining balance within this period, the Seller may:
·Retain the 10% deposit as liquidated damages.
· Sell the Scooter to a third party without further obligation to the Buyer.
3. DELIVERY, TITLE, AND CUSTOMS 3.1. Shipping, customs duties, taxes, insurance, and associated costs are the Buyer's responsibility unless otherwise explicitly agreed in writing. 3.2. Risk of loss or damage transfers to the Buyer upon handover to the shipping carrier in Dubai. 3.3. Title to the Scooter remains with Seller until full payment is received. 3.4. Buyer must maintain comprehensive insurance coverage during transit, naming Seller as an additional insured.
4.WARRANTY TERMS Seller warranties are as follows:
· Frame, suspension, motor: 30,000 km mileage.
· Headlights: 3 years from delivery date.
· Battery: 1 year from delivery date.
· Controller unit: Lifetime warranty.
Consumable parts are excluded. Warranty claims require proof of proper maintenance per the Scooter’s User Manual.
5. SAFETY AND COMPLIANCE DISCLAIMER The Buyer acknowledges the Scooter as a high-performance vehicle. The Buyer assumes full responsibility for compliance with local laws. The Buyer expressly assumes all risks associated with its use. The Buyer indemnifies and holds harmless the Seller against claims arising from the operation or ownership of the Scooter.
6. LIABILITY LIMITATION The Seller’s liability under this Agreement shall not exceed the purchase price. The Seller excludes liability for indirect, incidental, consequential, exemplary, or special damages.
7. INDEMNIFICATION The Buyer agrees to indemnify, defend, and hold harmless Seller against liabilities arising from failure to comply with local laws regarding Scooter ownership or use.
8. FORCE MAJEURE Neither party is liable for delays or failures to perform obligations due to circumstances beyond reasonable control, such as natural disasters, war, pandemics, strikes, or governmental actions.
9. DISPUTE RESOLUTION Disputes shall first be addressed through amicable negotiation. Mediation shall be considered before litigation if negotiation fails.
10. GOVERNING LAW AND JURISDICTION This Agreement is governed by English law. Disputes shall be exclusively settled in courts of England and Wales.
11. DIGITAL ACCEPTANCE AND E-SIGNING By submitting prepayment through Seller’s website, the Buyer agrees to the following:
· Buyer confirms reading, understanding, and accepting all terms of this Agreement.
· Checking the acceptance box and submitting payment constitutes a legally binding electronic signature under the UK Electronic Communications Act 2000.
· Seller maintains digital records of acceptance, including Buyer’s details, IP address, and payment confirmation.
· Electronic confirmation and receipt will be sent via email.
· Buyer’s digital acceptance and prepayment constitute full legal acceptance of this Agreement’s terms, requiring no further signatures.
This electronic Agreement represents the entire understanding between the parties.
